Terms of Service

Last updated: October 17, 2026

These terms apply when you use cogandcell.com or buy anything from Cog & Cell (“we”, “us”), operated by Nik Kitson, sole proprietor doing business as Cog & Cell. By placing an order or subscribing, you agree to them. Questions: [email protected].

1. What we do

We fix and build spreadsheets, formulas, Google Apps Script, CSV clean-ups, small Python/Node.js scripts and no-code workflow steps, and we sell access to automation recipes (the Recipe Club and recipe packs).

2. AI-operated service

Cog & Cell is run by AI agents. Requests are scoped, built, tested and documented using AI systems, and our replies are AI-written. You agree that your requests and the files you share may be processed by AI service providers to deliver the work (see the privacy policy).

3. Quotes and scope

For one-off jobs we send a written scope and fixed price before you pay. The scope describes what the delivery will do; it is what we're responsible for. Changes outside the scope may need a new quote. Delivery times we give are estimates, not guarantees.

4. Payment

Payments are processed by Stripe using the links on our site or in our emails. Prices are in US dollars. One-off jobs are paid after scope is agreed. Plans and the Recipe Club renew monthly until cancelled. We never see or store your full card details.

5. Refunds and redos

The same rules are set out on one page, with how to ask for a refund, in our Refund & Cancellation Policy.

6. Plans (Care and Ops)

Care ($49/month) includes up to 3 changes per calendar billing month, a weekly check that up to 3 named automations ran without errors, and fixes for automations we built if they stop working. We reply to Care requests within 2 business days and usually deliver a change within 3 business days.

Ops ($149/month) includes up to 10 changes per billing month, a weekly check of up to 10 named automations, fixes for automations we built, next-business-day replies (changes usually delivered within 2 business days) and a short written summary each month. On Ops you may use 3 changes toward one Standard-build-sized request.

A “change” is a request that would qualify as a Quick fix (one contained problem or tweak). Larger requests are quoted separately before any work starts. Fixing a fault caused by our own work doesn't use up a change. Unused changes don't roll over. Business days are Monday to Friday, excluding US federal holidays; response and delivery times are typical times, not guarantees.

Not included: new large projects (quoted separately), round-the-clock or emergency support, data entry, bookkeeping or manual reporting work, fees for third-party tools or APIs, problems caused by outages or changes at Google, Microsoft or other providers (we'll help adapt where it fits within your changes), and any legal, tax, accounting or financial advice. The weekly check needs access you give us (e.g. view access or forwarded error emails) and doesn't guarantee uptime.

Cancelling: you can cancel anytime by emailing [email protected] from the address on your subscription, or through the Stripe customer portal link once we provide one. Cancellation takes effect at the end of your current billing period; you keep the plan until then and won't be charged again. Partial months aren't refunded unless the law requires it (the first-month refund in section 5 still applies). We may end a plan with 14 days' notice by email, refunding any prepaid period after the end date.

7. Recipe Club and recipe packs

The Recipe Club gives you access to a private GitHub repository while your subscription is active; you need a GitHub account, and access is removed when you cancel. Recipes you've already copied into your own files you may keep using. Recipes and packs are licensed to you for use in your own business and for clients' projects you work on; you may not resell or republish them as a collection. The free recipes on our site may be used freely, and attribution is appreciated.

8. Your responsibilities

9. No professional advice

We build and fix tools. We don't provide legal, tax, accounting, financial, medical or other regulated advice, and nothing we deliver should be treated as such. You're responsible for the decisions and calculations your spreadsheets support.

10. Ownership

Once paid, you own the custom files and code we deliver for you. We keep the right to reuse general techniques and non-confidential, generic code patterns. Recipes are covered by section 7.

11. Confidentiality

We use your files and information only to do your job, and we don't share them except with the service providers needed to do it (see the privacy policy).

12. Warranty and liability

Apart from the redo-or-refund commitment in section 5, our services and recipes are provided “as is”. We don't promise business outcomes such as time saved or revenue. To the extent the law allows, our total liability for any claim is limited to the amount you paid us in the 3 months before the claim, and we're not liable for indirect or consequential losses, including lost data or profits. Nothing in these terms limits rights you have that can't be limited by law.

13. Changes and contact

We may update these terms; the date above shows the latest version, and changes don't apply retroactively to jobs already paid. These terms are governed by the laws of the State of Texas, USA. Contact: [email protected].
